Agreement Negotiation

Proceed with Openness: Information on technology transfers is made public via an announcement to allow each enterprise to have a fair opportunity to take part.

Licensing Fees: Licensing to profit-making businesses shall require a licensing fee. If products resulting from licensing are launched, any derived loyalty shall be additionally charged.

Non-exclusive Licensing: Licensing to various users helps to achieve the purpose of technology diffusion. If licensing involves prevention from improper competition to hinder industrial development, requirement for long-term evaluation of development after licensing by a government or requirement to invest with a huge amount to commercialize, each individual case shall be evaluated before granting licensing.

The licensing period shall be based on the principle of full utilization and realization of technological value.

Agreement signing

Administrative processes vary according to transfer agreements with/without the requirement of loyalty payment:

Agreements with loyalty payment:

  1. After agreement contents are confirmed by three parties, the Center will prepare a contract and a letter of statement for the signing and sealing by the representative of the inventor and the cooperative enterprise.
  2. The Center will stamp the agreement with the NYCU seal and send copies to the inventor and the unit in charge.
  3. After the agreement is signed and sealed by three parties, the Center will apply for payment from the cooperative enterprise and allocate the loyalty payment.

Agreements without loyalty payments (referring to agreements that grant transfers for academic and research uses by non-profit making organizations, such as material transfers and copyright authorization)

  1. Agreements should be sent to the Center by the unit where the inventor works;
  2. After the agreement is approved, the unit where the inventor works signs the agreement;
  3. After signing,  a duplicate copy of the agreement is archived by the Center.

A three-part agreement shall be signed by and among the cooperative business, the inventor, and the University as in the example shown below:

  1. Technology License Agreement  : For the teachers and students of NYCU’s R&D results to protect trade secrets, know-how, and technology.  When licensing for uses by others and for licensing implementation, please refer to this sample. Contents of this sample include exclusive, non-exclusive, and derivative licensing models. 
  2. Patent License Agreement  : For the R&D results of teachers and students of the University that have acquired patent right protection, when licensing for uses by others and licensing implementation, please refer to this sample. Contents of this sample include exclusive, non-exclusive, and derivative licensing models.
  3. Agreement for Assignment of Patent Rights  : For the R&D results of teachers and students of the University that have acquired patent right protection, when licensing for uses by others and licensing implementation, please refer to this sample. Contents of this sample include exclusive, non-exclusive, and derivative licensing models.

** The said examples shall be adjusted according to actual needs. If there is special requirement, please contact the personnel in charge of technology transfer at the Center.

Description of Loyalty Distribution
The interest distribution of licensing shall be different due to variance in R&D results derived from research projects entrusted and subsidized by the governmental agencies following the “Science and Technology Basic Law.”

Note 1: Tax exemption by the Ministry of Science and Technology is calculated from the day when income is actually paid and the maximum exemption rate in Year 2020 is 15%.
Note 2: After 2020/7/1, contracted cases shall pay additional 5% business tax (excluding offshore companies).
